Rosas de María is a fully independent recognized 501(c)(3) nonprofit. Its Board governs the organization, programs, contracts, fundraising and resources; outside partnerships do not replace that authority.
Good intentions are not an internal-control system. The mission deserves clear authority, useful records, responsible finances, and a Board willing to do the unglamorous work.
Corporate purpose
Rosas de María is organized for public and charitable purposes. Its specific purpose is to teach, preserve, enrich, share, promote, and celebrate Mexican culture through the performing arts of dance and music.
Independent nonprofit authority
Rosas de María is a fully independent 501(c)(3) nonprofit organization. Its Board is the governing authority for the organization. North Valley Community Foundation may serve as a fundraising mechanism or community partner for selected efforts, but it is not a fiscal sponsor and does not control Rosas de María’s governance, contracts, programs, or ordinary fundraising.
Board governance
The bylaws place the activities, affairs, and corporate powers of the organization under the direction of the Board. The Board may delegate work, but it retains responsibility for governance and may rescind delegated authority.
Board composition and terms
The bylaws authorize a Board of not fewer than nine and not more than twenty-five directors. Directors generally serve staggered terms, with limits intended to support both continuity and renewal.
Standing committees
The bylaws establish Finance and Operations as standing Board committees. Other advisory committees may be created as the organization grows.
Meetings and records
The Board is expected to meet at least four times each year in addition to an annual meeting. Minutes, governing documents, accounting records, and required reports are maintained as corporate records.
Public and private boundaries
Transparency does not require publishing residential addresses, signatures, tax identifiers, passwords, bank procedures, or the private information of children, families, volunteers, and vendors. Public documents are reviewed and redacted before release.
Accountability turns generosity into instruction, access, performance, and traditions carried forward.
Whistleblower protection
Good-faith reporting, no retaliation, confidentiality, investigation, and corrective action.
